Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the website or services operated by Pixel Progress Guild ("us", "we", "our").

1.3 Account Responsibilities

You are responsible for safeguarding the password that you use to access our services and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2. Content and Intellectual Property

2.1 Our Content

Our services and content (including but not limited to text, images, graphics, logos, icons, audio and video clips, digital downloads, data compilations, and software) are the property of Pixel Progress Guild or our licensors and are protected by Latvian and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our services for your personal, non-commercial use, subject to these Terms.

2.2 User Content

When you upload, submit, store, send, or receive content to or through our services, you give us a worldwide license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, and distribute such content.

You represent and warrant that you own or have the necessary rights to submit the content and that the content does not infringe upon the intellectual property rights of any third party.

2.3 Prohibited Content

You agree not to upload, submit, store, send, or receive any content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or otherwise objectionable
  • Infringes upon any patent, trademark, trade secret, copyright, or other intellectual property rights of any party
  • Contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software or hardware
  • Constitutes unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," or any other form of solicitation

3. Membership and Payments

3.1 Membership

Our guild offers various membership options with different features and benefits. By becoming a member, you agree to pay the applicable membership fees as described on our website.

3.2 Payment Terms

All payments must be made in advance. We accept payment via credit card, bank transfer, or other methods specified on our website. By providing payment information, you represent and warrant that you are authorized to use the designated payment method.

3.3 Automatic Renewal

Memberships automatically renew at the end of the membership period unless cancelled at least 30 days before the renewal date. By purchasing a membership, you authorize us to charge your payment method for the renewal unless you cancel in accordance with our cancellation policy.

3.4 Refunds

Membership fees are non-refundable except as required by law or as specifically outlined in our refund policy. For consulting services and workshops, refund policies will be specified in the applicable service agreement.

4. Consulting Services

4.1 Service Agreements

Our consulting services are governed by separate service agreements that outline the scope of work, deliverables, timeline, and fees. These Terms apply in addition to any specific terms in the service agreements.

4.2 Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and necessary resources as outlined in the service agreement. Failure to fulfill these responsibilities may result in delays or changes to the project scope, timeline, or fees.

4.3 Confidentiality

We treat all client information as confidential and will not disclose it to third parties without consent, except as required by law or as necessary to provide the services.

5. Limitation of Liability

To the maximum extent permitted by law, in no event shall Pixel Progress Guild, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use our services
  • Any conduct or content of any third party on our services
  • Any content obtained from our services
  • Unauthorized access, use, or alteration of your transmissions or content

Our liability is limited to the maximum extent permitted by law and shall not exceed the amount you paid to us for the applicable services.

6. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not make any warranties or representations regarding the use of the materials in our services in terms of their correctness, accuracy, reliability, or otherwise.

7. Indemnification

You agree to defend, indemnify, and hold harmless Pixel Progress Guild, its directors, employees, partners, agents, suppliers, and affiliates, from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with:

  • Your access to or use of our services
  • Your violation of these Terms
  • Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right
  • Any content you upload, submit, store, send, or receive through our services

8. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use our services will immediately cease. If you wish to terminate your account, you may simply discontinue using our services or contact us to request account deletion.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Latvia, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

10. Dispute Resolution

Any dispute arising from or relating to these Terms or our services shall be finally settled by arbitration in Riga, Latvia, in accordance with the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.

The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of our services after any such changes constitutes your acceptance of the new Terms. Please review these Terms periodically for changes.
